Delaware Foreign and Non-Profit Corporations Annual Report Due by June 30

On or before June 30 each year, all Delaware foreign and non-profit corporations are required to file an annual report and pay a franchise tax fee.

Foreign Corporations must file an Annual Report with the Delaware Secretary of State on or before June 30 each year. A $125.00 filing fee is required to be paid. If the Annual Report and remittance is not received by the due date, a $125.00 penalty will be added to filing fee.

Delaware LLC Franchise Tax Due on or Before June 1

The State of Delaware does not require an annual report for LLCs.  However, there is a LLC franchise tax that is due on or before June 1 each year.  The annual LLC franchise tax is $300.  If payment is made AFTER June 1, there is a late fee of $200.  Interest accrues at the rate of 1.5% per month until the balance is paid off in full.
