Texas Enacts New Law to Combat UCC Fraud
Texas has enacted Senate Bill 2221, effective September 1, 2025, which creates a streamlined administrative process to combat fraudulent Uniform Commercial Code (UCC) filings. This law provides a faster, less expensive option for victims to contest and remove bogus liens from public records without immediate court action, a significant improvement over previous procedures that primarily relied on time-consuming lawsuits.
Texas Domestic and Foreign LLC Annual Report Due May 17
You must file a franchise tax and public information report with the Comptroller's office. The report must list the names and contact information for each manager, officer, and director of your LLC. The report is due between January 1 and May 15. The Texas franchise tax is a required fee and is calculated according to a taxable margin. The average cost is approximately $101.
